Terms of Service

1. Agreement and authority

These Terms of Service govern access to and use of RoleOptic websites, applications, demonstrations, and related services. By creating an account, starting a subscription, or using the services, you agree to these terms. If you use RoleOptic for an organization, you represent that you are authorized to accept these terms on its behalf.

2. The RoleOptic service

RoleOptic provides D365F&SCM security, licensing, optimization, simulation, governance, and reporting capabilities. Features, capacity, support, retention, and implementation artifacts depend on the selected plan and any applicable order form. RoleOptic may improve the service while preserving the material functionality of an active paid plan.

3. Accounts and authorized use

You must provide accurate account information, protect authentication credentials, and promptly report suspected unauthorized access. You are responsible for users admitted to your tenant and for configuring their roles appropriately. You may use the service only for lawful internal business purposes and in accordance with applicable documentation.

4. Free Demo

The Free Demo uses synthetic sample data and does not permit customer environment ingestion. Demo capacity, availability, and retention may differ from paid services. RoleOptic may suspend or retire an inactive or abusive demo account after reasonable notice where practicable.

5. Subscriptions, billing, and cancellation

Paid subscriptions are billed through Stripe at the price and cadence disclosed before purchase, plus applicable taxes. Unless an order form states otherwise, subscriptions renew automatically until canceled. You may manage or cancel an eligible subscription through the RoleOptic billing area and Stripe customer portal. Cancellation takes effect at the end of the current paid period. Payments are non-refundable except where required by law or expressly stated in an order form.

6. Customer data

You retain ownership of data submitted to RoleOptic. You grant RoleOptic the limited rights necessary to host, process, protect, back up, transmit, and delete that data to provide and secure the service. You are responsible for having the rights and lawful basis necessary to submit customer data and for avoiding data that is not required for the documented service.

7. Privacy and security

RoleOptic processes personal information as described in the Privacy Notice and applicable contractual documentation. RoleOptic uses administrative, technical, and organizational safeguards designed to protect tenant data, but no system can guarantee absolute security. You remain responsible for endpoint security, identity administration, source-system access, and secure handling of exported reports and implementation packages.

8. Acceptable use

You must not attempt to access another tenant, bypass authentication or authorization, probe or disrupt the service, upload malicious content, reverse engineer protected portions of the service except where law permits, misuse the service to violate third-party rights, or use generated findings as a substitute for required professional, legal, accounting, or security review.

9. Recommendations and customer decisions

RoleOptic provides analytical findings and decision-support information. You are responsible for validating licensing, security, segregation-of-duties, operational, and financial consequences before applying changes to D365F&SCM or purchasing licenses. Microsoft licensing rules, prices, and product behavior may change independently of RoleOptic.

10. Intellectual property and feedback

RoleOptic and its licensors retain all rights in the service, software, documentation, designs, and trademarks. These terms grant only a limited, non-exclusive, non-transferable right to use the service during the applicable subscription. If you provide feedback, RoleOptic may use it without restriction or obligation, provided it does not identify your confidential information.

11. Third-party services

The service may interoperate with Microsoft, Stripe, cloud hosting, email, storage, and other third-party services. Their terms and availability apply separately. RoleOptic is an independent product and is not affiliated with, endorsed by, or sponsored by Microsoft. Microsoft, Dynamics 365, and related names are trademarks of their respective owners.

12. Suspension and termination

RoleOptic may suspend access when reasonably necessary to address a security threat, unlawful use, material breach, non-payment, or risk to another customer or the service. Where practicable, RoleOptic will provide notice and an opportunity to cure. Upon termination, access ends and customer data is handled according to the applicable retention, deletion, and contractual commitments.

13. Disclaimers

To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis. RoleOptic disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. These disclaimers do not limit rights that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. RoleOptic's aggregate liability arising from the service will not exceed the fees paid or payable for the affected service during the twelve months preceding the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited or to obligations expressly stated otherwise in an applicable order form.

15. Governing terms and changes

An executed order form, data processing agreement, or other written agreement controls if it expressly conflicts with these terms. The governing law and venue stated in that agreement apply; otherwise, the laws of the jurisdiction in which RoleOptic, Inc. is incorporated apply, without regard to conflict-of-law principles. RoleOptic may update these terms for legal, security, or service changes and will post a revised effective date. Material changes affecting active paid subscriptions will be communicated through reasonable channels.
